The Domestic Content Certification process requires two forms of documented confirmation. Below, you will find the one required document for each business category. Additionally, you may select one of the authorized document types listed to serve as your secondary verification.
I. BUSINESS CATEGORY: CORPORATE/SMALL BUSINESS
1. (REQUIRED) Articles of Incorporation/Organization: Legal document filed with the state, establishing the business, its structure, and initial ownership or management details.
2. Share Certificates or Stock Ledger: Records issued to shareholders or maintained internally, documenting ownership stakes and transfer history in corporations.
3. Operating Agreement (LLCs): Internal document outlining LLC members’ ownership percentages, roles, voting rights, and rules governing the business.
4. Partnership Agreement: Legal contract specifying partners’ ownership stakes, profit-sharing terms, and responsibilities within a partnership.
5. Cap Table: Spreadsheet tracking equity ownership, including founders, investors, and employees, often used by startups and venture-backed companies.
II. BUSINESS CATEGORY: NONPROFIT
1. (REQUIRED) Articles of Incorporation: Filed with the state, establishing the nonprofit’s legal status, mission, and governance structure under applicable laws.
2. Bylaws: Internal document defining operational rules, governance processes, and roles of the board of directors or trustees.
3. IRS Determination Letter: Official letter from the IRS confirming the nonprofit’s tax-exempt status under 501(c)(3) or other sections.
4. Board Meeting Minutes: Official record of board discussions and decisions, demonstrating governance and compliance with nonprofit laws.
5. State Registration or Annual Reports: Required filings with the state to maintain good standing and update director or officer information.
